LatsTalk Terms of Service

1. About LatsTalk

LatsTalk is a social communication platform designed to help users connect, communicate, share content, create groups, participate in communities, and interact with other members.

Depending on the version and features available, LatsTalk may provide private messaging, group messaging, profiles, posts, testimonials, reactions, groups, voice calls, media sharing, and Community Shops.

LatsTalk may introduce, modify, suspend, restrict, or discontinue features from time to time.

2. Eligibility

You may use LatsTalk only if you are legally permitted to use the Service under the laws applicable to you.

During registration, LatsTalk may require information such as your birthday to help determine whether you meet the applicable eligibility requirements.

• Provide truthful and accurate registration information.
• Keep your information reasonably up to date.
• Comply with these Terms and applicable laws.
• Do not create an account for another person without authorization.
• Do not impersonate another person, organization, or entity.

3. Registration and Account Information

When creating an account, you may be asked to provide information including your full name, username, email address, password, birthday, and account-recovery information.

You agree that the information you provide during registration is accurate and belongs to you or is provided with proper authority.

Providing false information for the purpose of bypassing eligibility, security, account restrictions, or other safeguards is prohibited.

4. Your LatsTalk Account

You are responsible for maintaining the security of your LatsTalk account and authentication information.

• Keep your password confidential.
• Do not share your account with unauthorized individuals.
• Do not use another person's account without authorization.
• Notify LatsTalk if you believe your account has been compromised.
• Use a reasonably strong password.

LatsTalk may provide account recovery mechanisms, including security questions and birthday verification.

5. User Content

LatsTalk allows users to create, upload, send, publish, or otherwise share content, including:

• Text messages.
• Photos and images.
• Videos.
• Audio.
• Documents and other files.
• Profile information.
• Posts and testimonials.
• Reactions and group content.

You remain responsible for the content you create or submit and for ensuring that you have the necessary rights to use and share it.

You retain ownership of content that you legally own.

By submitting content to LatsTalk, you grant LatsTalk a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, and distribute that content only to the extent reasonably necessary to operate, maintain, secure, and provide the Service.

This license does not transfer ownership of your content to LatsTalk.

6. Public and Shared Content

Some LatsTalk features may allow you to publish information or content publicly or to selected users.

Content you intentionally make public may be viewed, copied, shared, or otherwise accessed by other people.

7. Prohibited Content and Activities

You may not use LatsTalk to:

• Violate applicable laws or regulations.
• Threaten, harass, stalk, intimidate, or abuse other users.
• Impersonate another person or organization.
• Create fraudulent or deceptive accounts.
• Upload malware, viruses, or harmful software.
• Attempt unauthorized access to another account, server, database, or system.
• Circumvent security, authentication, or access controls.
• Conduct scams, fraud, phishing, or deceptive activities.
• Distribute spam or unsolicited bulk messages.
• Infringe another person's copyright, trademark, privacy, or other rights.
• Share another person's private or confidential information without appropriate authorization.
• Promote or facilitate illegal activity.
• Exploit, endanger, groom, or sexually abuse minors.
• Upload or distribute content intended to compromise the security of LatsTalk.
• Interfere with the normal operation of the Service.

8. Messaging

LatsTalk provides private and group messaging features.

Users are responsible for messages, attachments, links, and other content they send.

Messaging must not be used for spam, threats, fraud, malicious files or links, illegal content, harassment, abuse, or unsolicited bulk communication.

LatsTalk may process messaging information as necessary to provide the messaging service, maintain security, investigate abuse, comply with applicable law, or perform other activities permitted by the Privacy Notice.

9. Groups and Communities

Users may create or participate in LatsTalk groups.

Group owners and administrators may have additional responsibilities for managing membership, join requests, invitations, group content, and group activity.

Group administrators must use their administrative privileges responsibly and may not use those privileges to violate these Terms or applicable law.

LatsTalk may intervene in groups when reasonably necessary to address serious violations, security issues, illegal activity, abuse, or threats to users or the Service.

10. Voice Calls and Communication Features

LatsTalk may provide voice calls and other communication features.

Communication quality may depend on internet connectivity, device capabilities, browser compatibility, network conditions, hosting infrastructure, and other factors.

LatsTalk does not guarantee that voice calls or other communication features will always be available, uninterrupted, secure, or error-free.

Users must not use communication features for harassment, threats, fraud, illegal activity, or other prohibited conduct.

11. Community Shops

LatsTalk may provide Community Shops or other community-based marketplace features.

Where available, users may advertise, offer, or sell products or services.

LatsTalk is not necessarily the seller, buyer, manufacturer, distributor, or supplier of products or services offered by users.

Users participating in Community Shops are responsible for:

• Their listings and descriptions.
• Their communications with customers.
• Their transactions.
• Product or service fulfillment.
• Applicable taxes and legal obligations.
• Compliance with applicable laws.

LatsTalk does not guarantee the quality, legality, safety, availability, authenticity, or performance of products or services offered by users.

12. Intellectual Property

The LatsTalk name, logo, branding, software, interface, design, code, graphics, and other platform materials may be protected by intellectual-property laws.

Unless otherwise stated or permitted by applicable law, you may not copy, modify, distribute, sell, reverse engineer, or commercially exploit LatsTalk's platform, branding, or software without permission.

13. Copyright Complaints

If you believe content available through LatsTalk infringes your copyright or other intellectual-property rights, you may contact LatsTalk with sufficient information to identify:

• The protected work.
• The allegedly infringing material.
• Where the material can be found.
• Your contact information.
• Other information reasonably necessary to evaluate the complaint.

14. Privacy and Personal Information

Your use of LatsTalk also involves the processing of personal information.

LatsTalk's collection, use, storage, disclosure, protection, retention, and other processing of personal information are described in the separate LatsTalk Privacy Notice .

LatsTalk aims to process personal information in accordance with applicable Philippine privacy laws, including Republic Act No. 10173, the Data Privacy Act of 2012, and applicable rules and issuances.

15. Security

LatsTalk takes reasonable measures to protect the Service and user information.

However, no website, application, network, database, or online communication system can be guaranteed to be completely secure.

You must not attempt to compromise, attack, disrupt, scan, exploit, or gain unauthorized access to LatsTalk or its infrastructure.

You must not introduce malicious code, malware, viruses, or other harmful software into the Service.

16. Service Availability and Changes

LatsTalk is an evolving service.

We may perform maintenance, modify features, change technical requirements, limit access, suspend services, remove features, or introduce new features.

We will make reasonable efforts to maintain the Service, but we do not guarantee that LatsTalk will always be available, uninterrupted, or error-free.

17. Account Suspension and Termination

LatsTalk may suspend, restrict, or terminate an account when reasonably necessary, including when an account:

• Violates these Terms.
• Is involved in illegal activity.
• Creates a security risk.
• Is used for fraud or abuse.
• Impersonates another person.
• Attempts to circumvent platform safeguards.
• Creates a serious risk to users or the Service.
• Must be restricted due to a lawful requirement.

Where appropriate, LatsTalk may provide notice before taking action.

Immediate action may be taken when reasonably necessary to protect users, the Service, or the public.

18. Account Deletion

You may request deletion of your LatsTalk account where the feature is available.

Deleting an account may not immediately remove every copy of information from backups, security logs, legal records, fraud-prevention systems, or other systems where retention is required or reasonably necessary.

Personal information will be handled according to the LatsTalk Privacy Notice and applicable legal requirements.

19. Third-Party Services

LatsTalk may use third-party services or technologies for hosting, infrastructure, storage, communications, security, analytics, or other functions.

Third-party services may have their own terms and privacy policies.

LatsTalk is not responsible for the independent operation or policies of third-party services outside LatsTalk's control.

20. Disclaimers

To the maximum extent permitted by applicable law, LatsTalk is provided on an "as is" and "as available" basis.

LatsTalk does not guarantee that the Service will always be:

• Available.
• Error-free.
• Secure.
• Compatible with every device or browser.
• Free from interruptions.

LatsTalk also does not guarantee that messages, notifications, uploads, calls, or other communications will always be delivered immediately or successfully.

21. Limitation of Liability

To the maximum extent permitted by applicable law, LatsTalk and its operators, developers, affiliates, and service providers will not be responsible for indirect, incidental, special, consequential, or similar damages arising from your use of or inability to use the Service.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

22. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless LatsTalk and its operators, developers, affiliates, and service providers from claims, liabilities, damages, losses, and expenses arising from:

• Your violation of these Terms.
• Your misuse of the Service.
• Your violation of applicable law.
• Content you submit or distribute.
• Your violation of another person's rights.

23. Changes to These Terms

LatsTalk may update these Terms from time to time as the Service develops or as applicable laws and requirements change.

When significant changes are made, LatsTalk may provide notice through the Service, registration pages, or other reasonable means.

The updated Terms will identify their effective date.

Your continued use of LatsTalk after the updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

24. Governing Law

These Terms shall be interpreted and governed by the applicable laws of the Philippines, except where applicable law requires otherwise.

Nothing in these Terms is intended to remove or restrict rights or protections that cannot legally be waived.

25. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
